General Terms and Conditions / Terms of Use

These terms apply to customers who enter into a contract with Sat-iTec AB (customers in Sweden).

for the “ChatiTec” Platform

Effective: 25 October 2026 · Version: ab-2026-10-25
Provider and contracting party: Sat-iTec AB, Simeå 8097, 82167 Vallsta, Sweden, Reg. No. (org.nr) 559375-4335 (hereinafter the “Provider” or “Sat-iTec AB”)

§ 1 Scope, Contracting Parties

(1) These General Terms and Conditions apply to the use by the customer (hereinafter the “Customer” or “User”) of the AI/LLM platform “ChatiTec” (hereinafter the “Platform” or “Service”). Contracts for the Service are concluded exclusively between the Customer and Sat-iTec AB.

(2) The Service is intended exclusively for businesses (näringsidkare), i.e. natural or legal persons entering into the contract for purposes related to their own business or professional activity, in particular persons bound by professional secrecy (e.g. lawyers, physicians and other professionals). Contracts are not concluded with consumers. When ordering, the Customer confirms that it is acting as a business; the Provider may request the Customer’s company registration number or VAT registration number.

(3) Any deviating terms and conditions of the Customer are not accepted; they shall only become part of the contract if the Provider has expressly agreed to them in writing.

§ 2 Description of Services

(1) Sat-iTec AB provides an AI/LLM platform through which the Customer can use AI-supported functions. The technical operation and hosting of the Platform are performed by the group company Sat-iTec Systemhaus GmbH, Heisinger Straße 21, 87437 Kempten, Germany, in data centres in Germany (proprietary Proxmox infrastructure), acting as subcontractor and sub-processor of Sat-iTec AB; details are set out in the Data Processing Agreement. Sat-iTec AB is liable to the Customer for the obligations of its subcontractors as for its own.

(2) A core feature of the Service is its privacy-oriented architecture: before any transfer to external AI providers, personal data and professional secrets are automatically anonymised (PII tokenisation; enforced by default). Optionally, purely local operation without any external data transfer (local models, including in client mode) is available.

(3) The specific scope of functions depends on the selected plan (§ 3) and the service description applicable from time to time. The Provider is entitled to further develop the Service and to modify individual functions, provided that the core purpose of the contract is preserved and the change is reasonable for the Customer.

(4) The AI generates outputs on a statistical basis. Outputs may be incorrect, incomplete or outdated and do not replace professional, legal or medical advice. The Customer is obliged to review outputs on its own responsibility.

§ 3 Plans, Prices and Payment

(1) The Service is offered in the following plans. All prices are stated in Swedish kronor (SEK) excluding VAT; statutory Swedish VAT (moms, currently 25 %) is added.

Plan Price (per month, excl. VAT) Scope of services
Starter SEK 99 1 user; 200,000 tokens per month; processing exclusively with local AI models in the German data centre
Normal SEK 549 up to 5 users; 2,000,000 tokens per month; local models and – after anonymisation – standard-class cloud models; company memory
Performer SEK 2,199 up to 20 users; 10,000,000 tokens per month; all available models including premium models; increased request limits

(2) In addition to the monthly quota, the Customer may purchase additional tokens in token packages for SEK 109, SEK 219, SEK 549 or SEK 1,099 (excl. VAT; VAT is added). The number of tokens per package depends on the Customer’s plan and is shown before purchase. Additional tokens are credited after successful payment, are used only once the monthly quota has been consumed, and do not expire.

(3) The price and service overview applicable at the time of the order is decisive. The specific quotas, usage limits and functions included in each plan are described there.

(4) The monthly fee is payable in advance for each billing period; token packages are payable upon purchase. Payment is made by card or another payment method offered in the ordering process via the payment service provider Stripe. Invoices and receipts are issued by Sat-iTec AB and provided electronically.

(5) In the event of late payment, the Provider is entitled to default interest under the Swedish Interest Act (räntelagen, 1975:635) and to compensation under the Swedish Act on Compensation for Debt Recovery Costs (lagen (1981:739) om ersättning för inkassokostnader m.m.). After a written reminder, the Provider may temporarily suspend the Customer’s access to the Service until the overdue amount has been paid.

(6) Price adjustments shall be notified to the Customer in writing (e-mail is sufficient) six weeks before they take effect. In the event of a price increase, the Customer may terminate the contract with effect from the date on which the change takes effect. Changes to the statutory VAT rate may be applied without prior notice.

§ 4 Conclusion of Contract, Registration

(1) Use requires registration and the creation of a user account. The Customer shall provide truthful and complete information and keep it up to date.

(2) The contract is concluded when Sat-iTec AB confirms the order or activates the account.

(3) Login credentials must be kept confidential. The Customer is obliged to use the security measures offered (in particular two-factor authentication), where available, and to inform the Provider without delay if unauthorised access is suspected.

§ 5 Customer Obligations, Rules of Use

(1) The Customer shall use the Service exclusively within the framework of applicable law and these General Terms and Conditions.

(2) The Customer ensures that it is entitled to process the data it enters and that the required legal basis exists (in particular under the General Data Protection Regulation (EU) 2016/679, GDPR, and under professional rules). Insofar as the Customer processes personal data of third parties, the Customer is the controller in this respect; in addition, the Data Processing Agreement applies.

(3) The following is prohibited in particular: entering unlawful content, attempting to circumvent security measures, using resources beyond the agreed extent, and using the Service for purposes that infringe the rights of third parties.

(4) The Customer is itself responsible for complying with its professional obligations (in particular duties of confidentiality), see also § 9 (3). The Provider supports the Customer through technical protective measures (anonymisation, local operation, client mode).

§ 6 Availability / Service Level

(1) The Provider strives for high availability of the Service. A specific availability is only promised if a service level agreement (SLA) has been expressly agreed.

(2) If no separate SLA has been agreed, a target availability of 99.8 % on an annual average applies, measured at the handover point (the data centre’s internet connection). Excluded are announced maintenance windows, events under § 8 (8) and disruptions outside the Provider’s area of responsibility (e.g. outages at external AI providers or in services provided by third parties).

(3) Maintenance work will, where possible, be announced in advance and scheduled during periods of low usage.

§ 7 Availability of External AI Providers

Insofar as functions rely on external AI providers, their availability and performance cannot be influenced by the Provider. If external providers fail, the corresponding functions may be temporarily restricted; where available, local models may be used as a fallback.

§ 8 Liability

(1) The Provider is liable for direct damage caused to the Customer by the Provider’s negligence, subject to the limitations set out in this section.

(2) The Provider is not liable for indirect or consequential damage, such as loss of profit, loss of revenue, loss of production, loss of business opportunities or the Customer’s liability towards third parties.

(3) The Provider’s total liability under the contract is limited to an amount equal to the fees (excl. VAT) paid by the Customer for the Service during the twelve months immediately preceding the event giving rise to the damage.

(4) The limitations in (2) and (3) do not apply to damage caused intentionally or by gross negligence, to personal injury, or to the extent that liability follows from mandatory law, e.g. the Swedish Product Liability Act (produktansvarslagen, 1992:18). Liability under an expressly given guarantee remains unaffected.

(5) The Provider is not liable for the accuracy, completeness or suitability of the outputs generated by AI. The Customer bears responsibility for the use of the results.

(6) The Provider is liable for the loss of data only to the extent that would have been required to restore the data had the Customer performed proper and regular data backups, insofar as the Customer is obliged or able to perform such backups.

(7) Claims for damages must be made in writing without undue delay and no later than six months after the Customer noticed or should have noticed the circumstances giving rise to the claim; otherwise the right to compensation is lost.

(8) Neither party is liable for failure to perform an obligation under the contract if the failure is due to circumstances beyond the party’s control which the party could not reasonably have foreseen at the time the contract was concluded and whose consequences the party could not reasonably have avoided or overcome (e.g. war, natural disaster, acts of public authorities, widespread outages of public communication networks or power supply, industrial action). Payment obligations are not covered.

§ 9 Data Protection and Confidentiality

(1) The processing of personal data is governed by the Privacy Policy and – insofar as the Customer is the controller – by the Data Processing Agreement (Art. 28 GDPR) including its annexes.

(2) The Provider treats all content entered or uploaded by the Customer, and any other non-public information about the Customer that the Provider obtains under the contract, as confidential. Such information is used only to the extent necessary to provide the Service and in accordance with the Data Processing Agreement. The Provider ensures that employees and subcontractors (including Sat-iTec Systemhaus GmbH) who have access to such information are bound by equivalent confidentiality obligations. Confidentiality does not apply to information that is or becomes publicly available without a breach of the contract, or that a party is obliged to disclose by law, decision of a public authority or court order. The confidentiality obligation survives the termination of the contract.

(3) Customers who are subject to professional secrecy or confidentiality obligations (e.g. lawyers (advokater), physicians or auditors) are themselves responsible for assessing whether and how the use of the Service is compatible with their professional obligations. ChatiTec’s automatic anonymisation and client mode (processing exclusively with local models, without transfer to external AI providers) are designed to support the Customer in this.

§ 10 Term and Termination

(1) The contract is concluded for an indefinite period, unless otherwise agreed. The minimum term is one month.

(2) Unless a different term has been agreed, the contract may be terminated by either party at any time in writing (e-mail is sufficient) with effect from the end of the current billing period.

(3) Either party may terminate the contract with immediate effect if the other party commits a material breach of contract. A material breach by the Customer exists in particular in the event of a material breach of § 5 or of a payment default that has not been remedied within the period set by the Provider in a written reminder.

(4) After the end of the contract, the Customer’s data will be returned or deleted in accordance with the provisions of the Data Processing Agreement.

§ 11 Amendments to these Terms

The Provider may amend these General Terms and Conditions with effect for the future insofar as this is necessary to adapt them to changed legal or technical conditions and the Customer is not unreasonably disadvantaged thereby. Amendments shall be notified to the Customer in writing (e-mail is sufficient) at least six weeks before they take effect. If the Customer does not object within six weeks and continues to use the Service, the amendments shall be deemed accepted; the Customer will be specifically informed of this consequence in the notification. If the Customer objects, both parties are entitled to terminate the contract with effect from the date on which the amendments would have taken effect.

§ 12 Final Provisions

(1) The contract is governed by Swedish law, excluding its conflict-of-laws rules and the UN Convention on Contracts for the International Sale of Goods (CISG).

(2) Any dispute, controversy or claim arising out of or in connection with the contract shall be finally resolved by arbitration administered by the SCC Arbitration Institute (Stockholm Chamber of Commerce). The Rules for Expedited Arbitrations shall apply, unless the SCC, taking into account the complexity of the case, the amount in dispute and other circumstances, determines that the Arbitration Rules shall apply; in that case the SCC shall also decide whether the tribunal consists of one or three arbitrators. The seat of arbitration shall be Stockholm and the language Swedish, unless the parties agree on English. The arbitral proceedings and the award shall be confidential. Sat-iTec AB may nevertheless bring claims for due and undisputed payments before the Swedish general courts.

(3) Should individual provisions be or become invalid or unenforceable, the validity of the remaining provisions shall remain unaffected.

(4) Amendments and supplements to the contract must be made in writing (e-mail is sufficient); § 3 (6) and § 11 remain unaffected.

(5) These General Terms and Conditions are drawn up in Swedish and English. The Swedish version is binding; this English version is a translation. In the event of any discrepancy, the Swedish version prevails.
