for the “ChatiTec” Platform

Last updated: 23 October 2026 Provider: Sat-iTec Systemhaus GmbH, Heisinger Straße 21, 87437 Kempten (Allgäu), Germany (hereinafter the “Provider” or “Sat-iTec”)

§ 1 Scope, Contracting Parties

(1) These GTC apply to the use by the customer (hereinafter the “Customer” or “User”) of the AI/LLM platform “ChatiTec” operated by Sat-iTec (hereinafter the “Platform” or “Service”).

(2) The Service is intended for entrepreneurs (Unternehmer) within the meaning of § 14 BGB (German Civil Code), in particular for persons bound by professional secrecy (lawyers, physicians and other persons acting in a professional capacity). The conclusion of contracts with consumers within the meaning of § 13 BGB is not intended.

(3) Any deviating terms and conditions of the Customer are hereby rejected; they shall only become part of the contract if the Provider has expressly agreed to them in writing.

§ 2 Description of Services

(1) Sat-iTec provides an AI/LLM platform hosted in Germany (Augsburg data centre, proprietary Proxmox infrastructure) through which the Customer can use AI-supported functions.

(2) A core feature of the Service is its privacy-oriented architecture: before any transfer to external AI providers, personal data and professional secrets are automatically anonymised (PII tokenisation; enforced by default). Optionally, purely local operation without any external data transfer (local models) is available.

(3) The specific scope of functions depends on the selected plan (§ 3) and the service description applicable from time to time. Sat-iTec is entitled to further develop the Service and to modify individual functions, provided that the core purpose of the contract is preserved and this is reasonable for the Customer.

(4) The AI generates outputs on a statistical basis. Outputs may be incorrect, incomplete or outdated and do not replace professional, legal or medical advice. The Customer is obliged to review outputs on its own responsibility.

§ 3 Plans and Prices

(1) The Service is offered in the following plans (prices plus statutory VAT, unless stated otherwise):

Plan Price (per month, net) Scope of services
Starter €9 1 user; 200,000 tokens per month; processing exclusively with local AI models in the German data centre
Normal €49 up to 5 users; 2,000,000 tokens per month; local models and – after anonymisation – standard-class cloud models; company memory
Performer €199 up to 20 users; 10,000,000 tokens per month; all available models including premium models; increased request limits

(2) The price and service overview valid at the time of the order is authoritative. The specific quotas, usage limits and functions included in each plan are described therein.

(3) The fee is payable monthly in advance. Payment terms are governed by the methods specified in the ordering process.

(4) Price adjustments shall be notified to the Customer in text form six weeks before they take effect. In the event of a price increase, the Customer may terminate the contract extraordinarily with effect from the date on which the change takes effect.

§ 4 Conclusion of Contract, Registration

(1) Use of the Service requires registration and the set-up of a user account. The Customer shall provide truthful and complete information and keep it up to date.

(2) The contract is concluded upon Sat-iTec’s confirmation of the order / activation of the account.

(3) Access credentials must be kept confidential. The Customer is obliged to use the security measures offered (in particular two-factor authentication), where provided, and to inform the Provider without undue delay if unauthorised access is suspected.

§ 5 Obligations of the Customer, Rules of Use

(1) The Customer shall use the Service exclusively within the framework of applicable law and these GTC.

(2) The Customer shall ensure that it is entitled to process the data it enters and that the necessary legal bases (in particular under the GDPR and under professional law) exist. Insofar as the Customer processes personal data of third parties, it is the controller in this respect; the Data Processing Agreement applies in addition.

(3) The following are prohibited in particular: entering unlawful content, attempting to circumvent security measures, placing an excessive load on resources beyond the agreed extent, and use for purposes that infringe the rights of third parties.

(4) The Customer is itself responsible for compliance with its professional obligations (in particular duties of confidentiality). Sat-iTec supports the Customer by means of technical safeguards (anonymisation, local operation) and the Supplementary Agreement on the Protection of Professional Secrets.

§ 6 Availability / Service Level

(1) Sat-iTec endeavours to ensure a high availability of the Service. A specific availability is only warranted insofar as a Service Level Agreement (SLA) has been expressly agreed.

(2) Unless a separate SLA has been agreed, a target availability of 99.8% on an annual average applies, measured at the point of demarcation (handover point). Excluded are announced maintenance windows, force majeure and disruptions outside Sat-iTec’s area of responsibility (e.g. outages of external AI providers or of upstream services provided by third parties).

(3) Maintenance work will, where possible, be announced in advance and scheduled during periods of low usage.

§ 7 Availability of External AI Providers

Insofar as functions rely on external AI providers, their availability and performance cannot be influenced by Sat-iTec. If external providers fail, the corresponding functions may be temporarily restricted; where available, local models may be used as a fallback.

§ 8 Liability

(1) Sat-iTec is liable without limitation for damage resulting from injury to life, body or health based on a negligent or intentional breach of duty, and for other damage based on an intentional or grossly negligent breach of duty.

(2) In the event of a slightly negligent breach of material contractual obligations (cardinal obligations), liability is limited to the foreseeable damage typical for this type of contract. Material contractual obligations are those whose fulfilment is essential for the proper performance of the contract in the first place and on whose compliance the Customer may regularly rely.

(3) Otherwise, liability for slightly negligent breaches of duty is excluded.

(4) Liability under the German Product Liability Act (Produkthaftungsgesetz) and under any guarantee assumed remains unaffected.

(5) Sat-iTec is not liable for the accuracy, completeness or suitability of the outputs generated by AI. The Customer bears responsibility for the use of the results.

(6) Sat-iTec is liable for the loss of data only to the extent that would have been required to restore the data had the Customer performed proper and regular data backups, insofar as the Customer is obliged or able to perform such backups.

§ 9 Data Protection and Protection of Secrets

(1) The processing of personal data is governed by the Privacy Policy and – insofar as the Customer is the controller – by the Data Processing Agreement (Art. 28 GDPR (DSGVO)) including its annexes.

(2) For persons bound by professional secrecy, the Supplementary Agreement on the Protection of Professional Secrets (§ 203 StGB, German Criminal Code) applies in addition.

§ 10 Term and Termination

(1) The contract is concluded for an indefinite period, unless otherwise agreed. The minimum term is one month.

(2) Unless a different term has been agreed, the contract may be terminated by either party at any time with effect from the end of the respective billing period by notice in text form.

(3) The right to extraordinary termination for good cause remains unaffected. Good cause exists for Sat-iTec in particular in the event of a material breach of § 5 by the Customer or in the event of default in payment after a deadline set has expired without result.

(4) After the end of the contract, the Customer’s data will be returned or deleted in accordance with the provisions of the Data Processing Agreement.

§ 11 Amendments to these GTC

Sat-iTec may amend these GTC with effect for the future insofar as this is necessary to adapt them to changed legal or technical conditions and the Customer is not unreasonably disadvantaged thereby. Amendments shall be notified to the Customer in text form at least six weeks before they take effect. If the Customer does not object within six weeks and continues to use the Service, the amendments shall be deemed accepted; the Customer will be specifically informed of this consequence in the notification. Otherwise, both parties have a special right of termination.

§ 12 Final Provisions

(1) The law of the Federal Republic of Germany applies, to the exclusion of the UN Convention on Contracts for the International Sale of Goods (CISG).

(2) The exclusive place of jurisdiction for all disputes arising out of or in connection with this contract is Kempten (Allgäu), Germany, insofar as the Customer is a merchant (Kaufmann), a legal entity under public law or a special fund under public law.

(3) Should individual provisions be or become invalid or unenforceable, the validity of the remaining provisions shall remain unaffected.

(4) Amendments and supplements require text form.

(5) The German version is legally binding; translations are for convenience only.
